Terms and Conditions Of ZRPL

This user agreement ("User Agreement") forms the terms and conditions for the sale of products of ZRPL.

Any person ("User") who enquires about or purchases any products or services of ZRPL through this website, mweb or app agrees to be governed by this User Agreement.

Both User and ZRPL are individually referred to as 'Party' and collectively referred to as 'Parties' to the User Agreement.

• Before placing any order via this page, the Users shall compulsorily read and understand this User Agreement, and shall be deemed to have accepted this User Agreement as a binding document that governs User's dealings and transactions with ZRPL. If the User does not agree with any part of this Agreement, then the User must not avail the services.

• All rights and liabilities of the User and ZRPL with respect to services facilitated by ZRPL shall be restricted to the scope of this User Agreement.

• ZRPL is the reseller of the products listed on this platform and will provide tax invoice to the User.

• ZRPL is merchant on record for all transactions on this page. ZRPL maintains and operates third party payment gateways (PG) on this platform. User payment information is not stored or processed by ZRPL.

• ZRPL’s liability is till the point product is delivered to the user. If the product doesn't work as per specifications post delivery, the manufacturer/brand (“Brand”) is liable for product warranty and replacement. ZRPL can facilitate replacement as part of its customer support.

• In the cases where payments for a product is accepted by ZRPL; if exact product ordered cannot be delivered within the committed time period, ZRPL’s maximum liability will be limited to refunding the amount paid by the customer.     

• Users are advised to carefully check the description of the product before placing an order. Users agree to be bound by all conditions mentioned in the order confirmation email or outlined in the product details page. These conditions must be read in conjunction with the User Agreement.

• If a user makes places an order on behalf of another person, it is the responsibility of the user to inform that person about the terms of this Agreement, including all applicable rules and restrictions.

• The user agrees to follow all procedures and guidelines, as modified from time to time, in connection with the use of products provided by ZRPL. The user also agrees to comply with all applicable laws, regulations, orders, and directions issued by the Central Government, State Government, District Authorities, or any other competent statutory body with respect to the use of products or any transaction with ZRPL.

• In addition to the cost of product , ZRPL reserves the right to charge certain fees in the nature of handling fees,  convenience fees or service fees. ZRPL further reserves the right to alter any and all fees from time to time. Any such additional fees, including fee towards any modifications thereof, will be displayed to the User before placing the order or collecting the payment from such User.

• In cases of short charging of the total order value  , owing to any technical error or other reason, ZRPL shall reserve the right to charge the balance amount from the User and the User shall pay such balance amount to ZRPL. ZRPL will be at liberty to cancel such orders  if the amount is not paid before the shipment of the order.

• Any increase in the price charged by ZRPL on account of change in rate of taxes or imposition of new taxes, levies by Government shall have to be borne by the User. Such imposition of taxes, levies may be without prior notice and could also be retrospective but will always be as per applicable law.

• In the rare circumstance of an order not getting confirmed for any reason whatsoever, ZRPL will process the refund of the order amount paid by the User and intimate the User about the same. Any applicable refund except in the case as set out here, will be processed, as per the terms and conditions as stated at the time of purchase. The User shall be completely responsible for all charges, fees, duties, taxes, and assessments arising out of the use of the service, as per the applicable laws.

• The User agrees and understands that all payments shall only be made to bank accounts of ZRPL as set out on the website.

• ZRPL, representatives or employees shall never ask a customer to transfer money to any private account or to an account not held in the name of ZRPL. The User agrees that if that user transfers any amount against any order or transaction to any bank account that is not legitimately held by ZRPL or to any personal account of any person, ZRPL shall not be held liable for the same. User shall not hold any right to recover from ZRPL any amount which is transferred by the User to any third party.

• The User will not share his personal sensitive information like credit/debit card number, CVV, OTP, card expiry date, user IDs, passwords etc. with any person including the, employees or representatives of ZRPL . The User shall immediately inform ZRPL if such details are demanded by any of its agents' employees or representatives. ZRPL shall not be liable for any loss that the User incurs for sharing the aforesaid details.

• Refunds, if any, on cancelled orders will always be processed to the respective account or the banking instrument (credit card, wallet etc.) from which payment was made for that order.

• Order (s) made by the User through ZRPL are subject to the applicable cancellation policy as set out on the T&C page or as otherwise communicated to the customers in this platform.    

• ZRPL provides various modes of making payments on the Website for transacting, like UPI, Credit/Debit Cards of various banks, Net Banking facility of all major banks, ZRPL and third party Wallets, Gift Cards, EMI and more.

• ZRPL will send order confirmation, order status update details , refund status or any such other information relevant for the transaction made by the User, via SMS, WhatsApp or e-mail or any other alternate communication detail provided by the User at the time of placing order.

• ZRPL may also contact the User through the modes mentioned above for any pending or failed orders, to know the preference of the User for concluding the order and to help the User for the same.

• The User hereby unconditionally consents that such communications via SMS, WhatsApp or email or any other mode by ZRPL are:
  • upon the request and authorization of the User;
  • 'transactional' and not an 'unsolicited commercial communication' as per the guidelines of Telecom Regulation Authority of India (TRAI), and
  • in compliance with the relevant guidelines of TRAI or such other authority in India and abroad.

• The User will indemnify ZRPL against all types of losses and damages incurred by ZRPL due to any action taken by TRAI, Access Providers (as per TRAI regulations) or any other authority due to any erroneous complaint raised by the User on ZRPL with respect to the communications mentioned above or due to a wrong number or email id being provided by the User for any reason whatsoever.

• Ther can be exceptional circumstances where ZRPL may be unable to honor the confirmed orders due to various reasons like act of God, labor unrest, a pandemic, an epidemic, business exigencies, terrorist product, any operational and technical issues etc. or any other reason beyond the control of ZRPL . If ZRPL has advance knowledge of any such situations where dishonor of order may happen, it will make its best efforts to provide similar alternative to the User or refund the order amount. The User agrees that ZRPL shall not be held responsible for any delay or failure in performance of its obligations caused by such Force Majeure circumstance.

• The User agrees that in the event of non-confirmation of order due to any technical reasons (like network downtime, disconnection with third party platforms such as payment gateways, banks etc.) or any other similar failures, ZRPL ’s obligation shall be limited refunding the order amount, if any, received from the customer. Such refund shall completely discharge ZRPL from all liabilities with respect to that transaction. Additional liabilities, if any, shall be borne by the User.

• In no event shall ZRPL be liable for any direct, indirect, punitive, incidental, special or consequential damages, and any other damages like damages for loss of data or profits, arising out of or in any way connected with the use or performance of the Website

RIGHT TO REFUSAL BY ZRPL:

• ZRPL at its sole discretion reserves the right to not accept any order without assigning any reason thereof.

• ZRPL will not provide any service or share confirmed order details till such time the complete consideration is received from the User.

• In addition to other remedies and recourse available to ZRPL under this User Agreement or under applicable law, ZRPL may limit the User's product, warn other users of the User's actions, immediately suspend or terminate the User's  order(s) , or refuse to provide the User with access to the products/services offere by ZRPL if:

• The User is in breach of this User Agreement; or
  • ZRPL is unable to verify or authenticate any information provided by the User; or
  • ZRPL believes that the User's actions may infringe on any third-party rights or breach any applicable law or otherwise result in any liability for the User, other users of ZRPL , or ZRPL itself.

• Once a User has been suspended or terminated, such User shall not register or attempt to register with ZRPL with different credentials or use the Website in any manner whatsoever until such User is reinstated.

• ZRPL may at any time in its sole discretion reinstate suspended users.

• If a User breaches this User Agreement, ZRPL reserves the right to recover any amounts due to be paid by the User to ZRPL , and to take appropriate legal action as it deems necessary.

If the User violates any of the aforesaid terms, ZRPL shall be at liberty to take appropriate legal action against the User.

RIGHT TO REFUSAL BY END SERVICE/PRODUCT PROVIDER:

User agrees that the end service/product provider may refuse to fulfil the order , agreed to be provided to the User, for any order made through ZRPL with/without assigning any reasons or owing to reasons including but not limited to behavioral issues, public safety, health hazards, infectious diseases, government orders/notification etc. In such scenarios of refusal, the liability of ZRPL will end at refunding the order amount to the user. 

• The User expressly undertakes to provide ZRPL with correct and valid information while making use of the Website under this User Agreement, and not to make any misrepresentation of facts. Any default on part of the User would disentitle the User from availing the services from ZRPL .

• In case ZRPL discovers or has reasons to believe at any time during or after receiving a request for services from the User that the request for services is either unauthorized or the information provided by the User is not correct or that any fact has been misrepresented by that User, ZRPL shall be entitled to appropriate legal remedies against the User, including cancellation of the orders, without any prior intimation to the User. In such an event, ZRPL shall not be responsible or liable for any loss or damage that may be caused to the User or any other person in the order, because of such cancellation of order. 

• If any judicial, quasi-judicial, investigation agency, government authority approaches ZRPL to cancel any order,  ZRPL will cancel the same without approaching the concerned User whose order  has been cancelled.

• The User shall not hold ZRPL responsible for any loss or damage arising out of measures taken by ZRPL for safeguarding its own interest and that of its genuine customers. This would also include ZRPL denying or cancelling any orders on account of suspected fraud transactions.

• Cancellations are subject to the terms and conditions as displayed at the time of order placement. 

By proceeding with an order,  you agree to all terms and conditions of ZRPL, including the product-specific cancellation policy and all terms and conditions listed as part of the ordering.

Cancellations or changes to orders made through the https://www.goindigo.in/retail website are subject to the terms and conditions displayed at the time of order placement.

●  Orders placed on this platform cannot be amended or cancelled.

●  Products purchased through the ZRPL platform are not eligible for returns.

●  In case the product delivered is Damaged or Defective or DOA (Dead-on-arrival) or does not match the Order, the same needs to be informed to ZRPL via email within 48 hours of receipt of defective / damaged product. ZRPL will arrange for a replacement of the damaged / defective product, with a like-for-like product.

●  In the event that a like-for-like replacement product is unavailable, ZRPL shall, upon the User’s request, initiate a refund of the amount paid by the User for the said product, in accordance with ZRPL’s refund terms and conditions displayed at the time of order placement. policy available at???.

●  In the event that the product is not delivered within the timelines communicated to the User at the time of placing the order, and the User elects to  request  a refund, ZRPL shall refund the order amount to the User, in accordance with ZRPL’s refund policy displayed to the user at the time of order placement.

● Order quantity will be limited as per the policies of the respective brand / manufacturer.

● The products offered herein are not meant for resale.

● Information about customer will be transmitted to manufacturer / brand / logistics partner for supply of product and after sales support, and services, if any.

● The products ordered on this site shall be delivered by logistics partners as applicable[R(1] [R(2] , to the delivery address, within India. Warranty and  after-sales support for the products will be provided by the respective product manufacturer or brand. However, Users may contact ZRPL, which will assist them in coordinating with the manufacturer or brand for any warranty or after-sales support requirements.The prices displayed on the site are inclusive of all applicable taxes, order processing fees, shipping charges, and other costs (i.e., the prices are 'all-inclusive').

● Delivery lead times vary by product and delivery location.      

● Order once placed cannot be amended or cancelled.

● In case the exact model of the ordered product is not available, ZRPL may at its discretion offer to replace it with an equivalent or higher product.

● In the cases where payments for a product is accepted by ZRPL; if exact product ordered cannot be delivered within the committed time period, ZRPL’s maximum liability will be limited to refunding the amount paid by the customer.

● Pricing, specifications, availability and terms of offer may change without notice.

● ZRPL, at its sole discretion, may cancel any order determined to have been placed under false, misleading, or wrongful circumstances.
